TERMS OF USE

Please read these Terms of Use (the "Terms") carefully, as they govern your use of and access to the website, application and any other digital service operated under the name Recruiters Bidding for Business (collectively, the "Platform"), which are provided by "RBB", "Recruiters Bidding for Business", "we", "our" or "us".

Recruiters Bidding for Business operates a technology platform that, among other things, connects companies with recruitment needs with recruiters, recruitment agencies and other recruitment professionals interested in presenting them with a service proposal.

1. Scope and Acceptance of the Terms

These Terms govern your use of the Platform and the services offered on it by RBB.

They apply, among others, to:

—visitors to the Platform (the "Visitors");

—companies, organizations, employers or authorized representatives wishing to post a recruitment need or mandate on the Platform (the "Companies");

—independent recruiters, headhunters, agencies, firms and other professionals offering recruitment services through the Platform (the "Recruiters");

—where relevant, individuals whose application is submitted or considered in the course of a recruitment process (the "Candidates");

—collectively, the "Users" or "you".

These Terms do not apply to third-party websites or services you may access through hyperlinks on the Platform. Those services are governed by their own terms.

By using the Platform, creating an account or using RBB's services, you confirm that you:

—have read and understood these Terms;

—agree to be bound by them;

—have reached the applicable age of majority;

—have the necessary authority to enter into this agreement;

and, where you are acting on behalf of a company or other organization,

have the necessary authority to bind that organization.

If you do not accept these Terms, you must not use the Platform.

2. Disclaimers

You acknowledge and agree that the Platform is primarily:

—a tool that connects Companies with recruitment needs with Recruiters wishing to offer their services;

—an environment allowing Companies to post certain recruitment needs;

—an environment allowing Recruiters to present their expertise and submit proposals;

—a tool allowing Companies to compare different service offers;

and, where available, an infrastructure facilitating certain communications and transactions between Users.

RBB Is Not the Recruiter

Unless expressly stated otherwise with respect to a separate service offered directly by RBB or an affiliate, RBB does not act as a Recruiter, placement agency, employer, representative of a Candidate or representative of a Company in the relationships entered into between Users of the Platform.

RBB primarily provides the technological infrastructure enabling parties to meet.

Recruiters using the Platform operate independently and remain responsible for their services.

RBB Is Not the Employer

RBB does not make hiring decisions on behalf of Companies.

Any decision regarding, among other things:

—the evaluation of a Candidate;

—interviews;

—background checks;

—compensation;

—working conditions;

—hiring;

—termination;

—and continued employment;

is the responsibility of the Company and, where relevant, the Candidate.

No Guaranteed Outcome

RBB does not guarantee:

—that a Company will receive proposals;

—that a Recruiter will obtain a Mandate;

—that a Candidate will be found;

—that a Candidate will accept an offer;

—that a Company will proceed with a hire;

—that a Placement will be completed;

nor that a Candidate will remain employed for any particular period.

Where a replacement guarantee or other guarantee is offered by a Recruiter, that guarantee belongs to the Recruiter and is subject to the terms it has presented, unless expressly stated otherwise.

RBB may also publish content relating to recruitment, employment, management, human resources or the labour market. This content is provided for informational purposes only and does not constitute legal, financial or professional advice.

3. Intellectual Property

You acknowledge that, as between RBB and you, RBB owns or licenses the rights relating to the Platform and its original content, including, among other things:

—text;

—graphics;

—tables;

—images;

—interfaces;

—videos;

—data;

—reports;

—databases;

—features;

—software;

—algorithms;

—APIs;

—code;

—ranking systems;

—comparison systems;

—and design elements;

—collectively, the "Content".

The trademarks, logos, trade names and other designations associated with Recruiters Bidding for Business, RBB and the Platform belong to their respective owners.

You agree not to adopt, use or attempt to register any mark, name or designation likely to create confusion with those of RBB without prior written authorization.

4. Permitted Uses

The Platform and its Content are made available to you solely for legitimate use:

—personal use, in the case of Visitors or Candidates;

professional use, in the case of Companies and Recruiters.

A Company may, among other things, use the Platform to post a Mandate, receive proposals and communicate with Recruiters.

A Recruiter may, among other things, use the Platform to view Mandates to which they have access, present their profile, submit proposals and communicate with Companies.

You may only use the Platform in accordance with these Terms and applicable laws.

5. Prohibited Uses

You may not, directly or indirectly, among other things:

—copy, translate, modify or create derivative works from the Platform or its Content without authorization;

—sell, distribute or commercialize RBB's Content without authorization;

—reverse-engineer or attempt to extract the Platform's code;

—remove or alter intellectual property notices;

—use the Platform contrary to any applicable law or contractual obligation;

—share your credentials with unauthorized persons;

—attempt to bypass security mechanisms;

—introduce malicious software;

—intentionally overload the systems;

—access another User's data without authorization;

—use robots, spiders, scrapers or automated systems to extract data en masse without written authorization;

—create a database competing with RBB's data;

—create fake accounts;

—post fake Mandates;

—present fake Candidates;

—falsify a Placement, salary, hire or any other transactional information;

—manipulate ratings or reviews;

—use a Candidate's information for unauthorized purposes;

—use the Platform for discriminatory or unlawful purposes;

—or

intentionally bypass the Platform in order to avoid RBB's Fees under section 11.

6. Your Account

Certain features require the creation of an account.

You must provide current, complete and accurate information.

You are responsible for maintaining the confidentiality of your credentials and for all activities carried out through your account.

You must promptly notify RBB of any unauthorized use or security breach of which you become aware.

RBB may request additional information in order to verify:

—your identity;

—your company;

—your employment;

—your qualifications;

—your agency;

—your professional experience;

or any information relevant to the security and integrity of the Platform.

RBB may suspend or delete an account that breaches these Terms or that poses a reasonable risk to the Platform or its Users.

7. Your Submissions

The Platform may allow you to post or transmit, among other things:

—descriptions;

—photographs;

—logos;

—videos;

—messages;

—text;

—profiles;

—Mandates;

—proposals;

—documents;

—professional information;

—comments;

—ratings;

—and other content;

—collectively, the "Submissions".

As between you and RBB, you retain ownership of your Submissions.

However, by submitting content on the Platform, you grant RBB a non-exclusive, worldwide, royalty-free and transferable licence to store, reproduce, display, adapt and use these Submissions to the extent necessary to operate, improve and promote the Platform, subject to applicable laws regarding personal information.

Your Submissions must not, among other things:

—be false or misleading;

—be abusive, hateful or defamatory;

—be discriminatory;

—be fraudulent;

—be unlawful;

—contain confidential information without authorization;

—contain personal information without authorization or another basis permitted by law;

—infringe the intellectual property rights of a third party;

or breach a contractual obligation.

RBB may remove a Submission that breaches these Terms.

You remain responsible for the Submissions you provide.

8. Data and Personal Information

The collection, use, disclosure, retention and processing of personal information by RBB are governed by our Privacy Policy, reproduced later in this document.

In the event of a conflict specifically relating to the processing of personal information, the Privacy Policy prevails.

9. Recruitment Mandates

A Company may use the Platform to post a recruitment need (a "Mandate").

A Mandate may include, among other things:

—the job title;

—the job description;

—the location;

—the work arrangement;

—the required skills;

—the required experience;

—the compensation;

—the benefits;

—any special conditions;

—the desired timelines;

and any other relevant information.

The Company represents that it has the necessary authority to post the Mandate.

The Company is responsible for the accuracy of the information it provides.

Posting a Mandate does not constitute a guarantee that Recruiters will submit a proposal.

10. Recruiter Proposals

Eligible Recruiters may submit a proposal for a Mandate (a "Proposal").

A Proposal may include, among other things:

—the fees requested;

—the fee calculation method;

—the guarantee offered;

—the Recruiter's experience;

—their specialization;

—their approach;

—a presentation video;

—an estimated timeline;

—their special conditions;

and any other relevant information.

The Recruiter remains responsible for the accuracy of their Proposal.

RBB may display, organize, filter or compare Proposals to facilitate the Company's decision.

The final decision, however, belongs to the Company.

RBB does not guarantee that a Recruiter is suitable for any particular Mandate.

11. Transactions, Fees and RBB Fees

RBB has two revenue streams: optional paid boosts for increased visibility and a one-time introduction fee on Private RBB mandates.

When a Company selects a Recruiter, the parties may be required to confirm the financial terms of the Mandate.

The fees associated with the Recruiter's services are the "Recruitment Fees".

Posting a Private RBB mandate, comparing recruiters and selecting a recruiter are free for Companies. Browsing Private RBB mandates and submitting Proposals are free for Recruiters.

Only the Recruiter selected by a Company for a Private RBB mandate pays the one-time $599 CAD introduction fee to unlock the Company's identity and contact details.

The $599 CAD introduction fee does not apply to public opportunities, public tenders or other publicly sourced recruitment opportunities listed or indexed by RBB.

Where offered, boosts are optional direct payments for increased visibility or positioning of an eligible job post or recruiter or agency profile. A boost is not a subscription or credit package.

Unless otherwise indicated, amounts displayed are in Canadian dollars and exclude applicable taxes.

Payment

Where this feature is available, RBB may allow or require that payment relating to a Mandate be made through the Platform or an authorized payment provider.

The exact terms of payment, holding, release and, where applicable, refund of amounts will be communicated before the transaction.

RBB may use an independent payment services provider to process transactions.

RBB does not claim to operate a trust account, escrow service or other regulated fund-holding mechanism unless such a mechanism has been legally established and is expressly identified as such on the Platform.

12. Placement and Hiring

For purposes of the Platform, a "Placement" generally means the hiring or engagement of a Candidate resulting directly or indirectly from a Mandate, a Proposal, an introduction or a relationship initiated through RBB.

The specific terms applicable to the calculation of Recruitment Fees may be set out in the accepted Proposal.

The Company and the Recruiter agree to provide accurate information regarding the existence of a Placement when such information is necessary to calculate the amounts payable.

13. Replacement Guarantee

A Recruiter may offer a replacement guarantee in connection with a Placement.

The duration and terms of this guarantee must be indicated in the Proposal or in the applicable agreement.

Unless expressly stated otherwise, the guarantee is offered by the Recruiter and not by RBB.

RBB may provide certain tools to document the length of employment or to facilitate a guarantee-related request, but is not responsible for the performance of the Recruiter's obligations.

Circumstances that may exclude or modify a guarantee may be defined in the Proposal, including, for example:

—elimination of the position;

—restructuring;

—economic layoff;

—material change in employment conditions;

—non-payment of Fees;

or other circumstances agreed between the parties.

14. Presentation and Information of Candidates

Recruiters must have the necessary authorizations before providing a Company with a Candidate's personal information where required by law.

Information concerning a Candidate may only be used for legitimate purposes consistent with the relevant recruitment process.

Companies and Recruiters remain responsible for their own obligations relating to:

—the protection of personal information;

—confidentiality;

—discrimination;

—labour law;

—background checks;

and recruitment practices.

RBB may remove or restrict access to information where there are reasonable grounds to believe it is being used contrary to these Terms or applicable laws.

15. Non-Circumvention

RBB invests financial, technological and commercial resources to create connections between Companies and Recruiters.

Where a relationship or business opportunity has been created or facilitated by RBB, Users agree not to intentionally circumvent the Platform for the primary purpose of avoiding applicable RBB Fees.

It is, among other things, prohibited to:

—conclude, outside the Platform, a transaction arising from an RBB Mandate in order to avoid RBB Fees;

—artificially move a transaction outside RBB after a connection has been made;

—falsely declare that no Placement has occurred;

—falsify a Candidate's compensation;

—conceal a hire;

—use an affiliate or a third party to disguise a transaction;

or artificially alter a transaction in order to avoid RBB Fees.

Where a Company selects a Recruiter for a Private RBB mandate, the applicable introduction fee remains payable in accordance with the terms accepted at the time of selection and contact unlock.

RBB may suspend an account and exercise the remedies permitted by law where a User breaches this section.

16. Relationships Between Users

Companies and Recruiters remain independent parties.

RBB is not a party to their professional relationships, except with respect to obligations expressly assumed by RBB in these Terms or in a separate agreement.

A Recruiter is not an employee, agent or representative of RBB solely because they use the Platform.

A Company is not a client of RBB's recruitment services solely because it posts a Mandate on the Platform.

17. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, THE PLATFORM, ITS CONTENT AND ITS FEATURES ARE PROVIDED "AS IS" AND "AS AVAILABLE".

YOU USE THE PLATFORM AT YOUR OWN RISK.

RBB DOES NOT GUARANTEE:

—UNINTERRUPTED ACCESS TO THE PLATFORM;

—THE ACCURACY OF ALL INFORMATION PROVIDED BY USERS;

—THE NUMBER OF PROPOSALS RECEIVED;

—THE NUMBER OF MANDATES OBTAINED;

—THE QUALITY OF A RECRUITER;

—THE QUALITY OF A CANDIDATE;

—THE SUCCESS OF ANY RECRUITMENT;

—THE COMPLETION OF A PLACEMENT;

NOR THE LENGTH OF EMPLOYMENT OF A CANDIDATE.

RBB IS NOT RESPONSIBLE FOR ANY HIRING OR RECRUITMENT DECISION MADE BY A USER BASED ON INFORMATION AVAILABLE ON THE PLATFORM.

TO THE FULLEST EXTENT PERMITTED BY LAW, RBB, ITS AFFILIATES AND THEIR DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, SUCCESSORS AND ASSIGNS SHALL NOT BE LIABLE FOR DAMAGES ARISING DIRECTLY OR INDIRECTLY FROM THE USE OF THE PLATFORM, EXCEPT WHERE THE LAW PROHIBITS SUCH EXCLUSION.

18. Indemnification

To the extent permitted by law, you agree to defend, indemnify and hold harmless RBB, its affiliates and their directors, officers, employees, agents and representatives from and against any claim, demand, action, loss or liability arising, among other things, from:

—a breach of these Terms;

—your Submissions;

—your unlawful use of the Platform;

—a violation of a third party's rights;

—your unauthorized processing of personal information;

or your relationships with another User.

You agree to reasonably cooperate with RBB in the defence of any such claim.

19. General Provisions

Provisions that, by their nature, should survive the end of the relationship between you and RBB remain in effect, including, among other things, those relating to:

—intellectual property;

—unpaid transactions;

—non-circumvention;

—limitation of liability;

—confidentiality;

and indemnification.

You may not assign your rights or obligations under these Terms without RBB's prior authorization.

These Terms, together with any special conditions expressly accepted in connection with a Mandate or service, constitute the agreement applicable between you and RBB regarding use of the Platform.

RBB's failure to exercise a right does not constitute a waiver of that right.

If a provision is found to be invalid or unenforceable, the remaining provisions remain in effect.

20. Governing Law

To the extent permitted by law, these Terms are governed by and construed in accordance with the laws of the Province of Quebec and the applicable federal laws of Canada.

Subject to any applicable mandatory rules, any dispute relating to these Terms shall be submitted to the competent courts of the judicial district of Montreal, Quebec, Canada.

22. Changes to the Terms

To the extent permitted by law, RBB may amend these Terms.

Where required, reasonable notice will be given before a material amendment takes effect.

The amended Terms will take effect in accordance with the notice provided or at the time indicated upon their publication.
